Acceptance of Terms

By accessing and using the WorkZen Service provided by WorkZen Systems Inc. ("WorkZen," "we," "us," or "our"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use our Service. These terms apply to all users of the Service, including without limitation users who are browsers, customers, and contributors of content.

Service Plans and Fees

WorkZen offers different service plans:

• Free Plan: A free-forever plan with limited features is available to all users. We reserve the right to modify the features available in the free plan at any time with reasonable notice.
• Paid Plans (ZenGrow and ZenAI): Paid plans are billed on a subscription basis. By subscribing to a paid plan, you authorize us to charge your payment method at the beginning of each billing period. Fees are non-refundable except as outlined in our Refund Policy.

User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for all Client Data you input into the Service and must ensure you have the necessary rights and consents to process such data.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Infringe upon the intellectual property rights of others.
• Transmit any harmful code, viruses, or malicious software.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use the Service for any unlawful, fraudulent, or malicious purpose.

Intellectual Property

The Service and its original content, features, and functionality are owned by WorkZen Systems Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent. Our trademarks and trade dress may not be used without our prior written permission.

Client Data Ownership

You retain all rights to your Client Data. By using our Service, you grant us a limited license to host, store, and process your Client Data solely for the purpose of providing the Service to you. We will not access, use, or disclose your Client Data except as necessary to provide the Service, comply with legal obligations, or as authorized by you.

Service Availability and Modifications

We strive to provide reliable service but cannot guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We may also update these Terms from time to time, and your continued use of the Service after such updates constitutes acceptance of the revised terms.

Limitation of Liability

To the maximum extent permitted by law, WorkZen Systems Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of or inability to access or use the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless WorkZen Systems Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any rights of another party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.
